Built For Tomorrow - Terms and Conditions
1. Definitions
- Built For Tomorrow: Built For Tomorrow - 99883120 VOF.
- Client: the party that enters into an agreement with Built For Tomorrow.
- Services: all activities in the field of software development, automation, websites, applications, consultancy, and digital solutions.
2. Applicability
These terms and conditions apply to all offers, quotations, and agreements of Built For Tomorrow.
Deviations are only valid when agreed in writing.
3. Quotations and agreements
Quotations are non-binding unless stated otherwise.
An agreement is concluded when:
- a quotation is accepted
- an assignment is confirmed in writing
- work has started
4. Performance of services
Built For Tomorrow will perform services to the best of its knowledge and ability.
The client ensures timely delivery of required information and materials.
Delays caused by missing information may lead to adjustments in planning or costs.
5. Additional work
If additional work is required during a project that is not included in the original agreement, this may be performed as additional work.
Additional work is aligned with the client in advance.
6. Payment
Invoices must be paid within the term stated on the invoice.
If payment is not received, Built For Tomorrow may suspend its work.
7. Intellectual property
Unless agreed otherwise, all intellectual property rights to software, code, designs, and documentation remain with Built For Tomorrow.
The client receives a right of use for the delivered solution.
Transfer of source code may be agreed separately.
8. Liability
Built For Tomorrow's liability is limited to the total amount of invoices billed to the client in the three months prior to the event causing damage.
Built For Tomorrow is not liable for:
- indirect damage
- consequential damage
- loss of profit
- loss of data
- reputational damage
9. Third parties
Built For Tomorrow may use third-party services, such as hosting providers, software platforms, or cloud infrastructure.
Built For Tomorrow is not liable for failures or issues caused by these external services.
10. Maintenance and support
Maintenance and support are provided when this is part of the agreement or when separate arrangements have been made.
11. Termination
Both parties may terminate the agreement if the other party materially fails to fulfill its obligations.
12. Force majeure
Built For Tomorrow is not liable for delays or failures caused by circumstances beyond its control.
13. Governing law
All agreements are governed by Dutch law.
Disputes are submitted to the competent court in the Netherlands.
